You should set up a Corporation (or something with LLC) because in the event of a lawsuit, (unlike a partnership) only the net assets of the corporation are exposed to any liability. i.e. if you incorporate, your personal assets are not exposed to any liability, whereas, with a partnership you and your friend could loose all of your personal assets.
